Terms & Conditions

By registering for, accessing, or using the Smart Wakeel platform (“the Service”), you (“the User” or “you”) agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and our Service Policy, all of which are incorporated by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not register for or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after notification of changes constitutes your acceptance of the revised Terms.

Smart Wakeel is designed for and restricted to licensed legal professionals practicing in Pakistan. By creating an account, you represent and warrant that:

• You are a licensed advocate enrolled with a recognized Bar Council or Bar Association in Pakistan, or a law student or paralegal using the platform under the supervision of a licensed advocate.
• You are at least 18 years of age.
• You have the legal capacity to enter into a binding contract.
• Your use of the platform complies with all applicable laws and professional regulations.

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the confidentiality of your account password and restrict access to your account.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at support@smartwakeel.com if you suspect unauthorized use of your account.
• Not share your account credentials with any other person or allow any other person to access your account.

We reserve the right to disable any account if we believe, in our sole discretion, that you have violated these Terms or if the account information you provided is false, inaccurate, or outdated.

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to:

• Pay the applicable subscription fees at the time and in the currency displayed at checkout.
• Provide valid and current payment information.
• Authorize us to charge your payment method for all fees associated with your subscription.
• Accept that all fees are in Pakistani Rupees (PKR) unless stated otherwise.
• Acknowledge that fees are non-refundable except as specified in our Refund Policy.

Failure to pay subscription fees will result in immediate suspension or termination of access to paid features. You are responsible for all charges associated with your account, including applicable taxes.

Subscriptions begin immediately upon successful payment and continue for the selected billing period (monthly or annual). Unless cancelled, subscriptions renew automatically at the end of each billing period at the then-current subscription rate.

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

We reserve the right to change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period. Continued use after a price change constitutes acceptance of the new price.

Our Property: Smart Wakeel and its underlying technology, including but not limited to software, algorithms, user interface design, branding, trademarks, and proprietary AI models, are owned by or licensed to Smart Wakeel. These are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform or its underlying technology.

Your Content:You retain ownership of any information, case data, or content you submit to the platform (“Your Content”). By submitting content, you grant Smart Wakeel a limited, non-exclusive, royalty-free license to use, process, and store Your Content solely to provide the Service to you.

Generated Documents: AI-generated documents produced by the platform based on your inputs are provided to you for your use. You take full responsibility for any document you file with a court or send to a third party. Smart Wakeel makes no claim of ownership over documents you generate, nor any warranty as to their legal sufficiency.

You agree not to use the Service to:

• Generate fraudulent, misleading, or deceptive documents.
• Harass, defame, threaten, or harm any individual or organization.
• Violate any applicable law, regulation, or professional code of conduct.
• Upload or transmit malware, viruses, or any other malicious code.
• Attempt to gain unauthorized access to any part of the platform or its systems.
• Scrape, crawl, or extract data from the platform using automated means without prior written consent.
• Reverse engineer, decompile, or disassemble any component of the platform.
• Use the platform to provide competing legal AI services to others.
• Submit false, misleading, or fabricated case information to generate documents.

Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account without refund.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Smart Wakeel expressly disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that AI-generated documents are legally sufficient, accurate, or appropriate for any specific legal matter.
• Any warranty that the Service will be uninterrupted, error-free, or secure.
• Any warranty regarding the accuracy or completeness of legal citations or references generated by the AI.

AI-generated documents are drafts only and must be independently reviewed and verified by the advocate before use. Smart Wakeel does not practice law and the platform does not constitute legal advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART WAKEEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunity.
• Damages arising from your reliance on AI-generated documents or outputs.
• Damages resulting from unauthorized access to or alteration of your data.
• Any matter beyond our reasonable control (force majeure).

In jurisdictions that do not allow exclusion of certain warranties or limitation of liability, our liability is limited to the greatest extent permitted by law. Our total aggregate liability to you for all claims shall not exceed the total amount paid by you to Smart Wakeel in the 3 months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Smart Wakeel and its officers, directors, employees, and agents from any claims, damages, losses, costs (including legal fees), and expenses arising from:

• Your use of the Service.
• Any document you generate, file, or send using the platform.
• Your violation of these Terms or any applicable law.
• Your breach of any third-party rights.
• Any content you submit to the platform.

Smart Wakeel may suspend or terminate your account at any time for:

• Violation of these Terms or the Acceptable Use Policy.
• Non-payment of subscription fees.
• Fraudulent, abusive, or illegal activity.
• Extended inactivity (no login for more than 12 months for free accounts).
• Provision of false information during registration.

You may terminate your account at any time by contacting support@smartwakeel.com. Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.

Before initiating legal proceedings, the parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days. If unresolved, disputes may be submitted to binding arbitration under the Arbitration Act 1940 (as amended) or resolved through the applicable courts of competent jurisdiction in Pakistan.

Entire Agreement: These Terms, together with our Privacy Policy and Service Policy, constitute the entire agreement between you and Smart Wakeel regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Language: These Terms are written in English. In case of any conflict between an English version and a translated version, the English version shall prevail.
